Terms of Service
Last updated: October 2026
1. Agreement
These Terms of Service ("Terms") govern access to and use of the websites, cloud infrastructure services, software and professional services provided by VantageX Global Inc., a Delaware corporation ("VantageX"). By accessing the services, the entity you represent ("Customer") agrees to these Terms. Where a signed Master Services Agreement, Order Form or Statement of Work exists, that document controls in the event of conflict.
2. Business Use Only
The services are offered exclusively to businesses and organizations. You represent that you are authorized to bind the Customer and that the services will not be used for personal, family or household purposes.
3. Services
VantageX provides (a) managed enterprise cloud hosting and infrastructure services, and (b) custom software development, including CRM/ERP engineering, legacy system migration and AI workflow automation. Specific deliverables, milestones, fees and service levels are defined in the applicable Order Form or Statement of Work.
4. Customer Responsibilities
Customer is responsible for the accuracy and legality of Customer Data, maintaining the confidentiality of credentials, and ensuring its users comply with these Terms. Customer shall not use the services to violate any law, infringe third-party rights, distribute malware, conduct unauthorized security testing, or interfere with the integrity or performance of the infrastructure.
5. Service Levels
Availability commitments and service credits, where offered, are set out in the applicable Service Level Agreement. Service credits are Customer's sole and exclusive remedy for unavailability. Scheduled maintenance and events outside VantageX's reasonable control are excluded.
6. Fees and Payment
Customer shall pay all fees as specified in the Order Form. Unless otherwise stated, invoices are due within thirty (30) days in U.S. dollars. Fees exclude applicable taxes. VantageX may suspend services for accounts more than thirty (30) days past due following written notice.
7. Intellectual Property
VantageX retains all rights in its platform, tooling, pre-existing materials and know-how. Upon full payment, ownership of custom deliverables specifically created for Customer transfers as set out in the applicable Statement of Work, and VantageX grants Customer a perpetual license to any embedded VantageX materials as necessary to use those deliverables.
8. Confidentiality
Each party shall protect the other's Confidential Information using at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisors with a need to know who are bound by equivalent obligations.
9. Data Protection
VantageX processes Customer Data in accordance with its Privacy Policy and any executed Data Processing Addendum, and maintains commercially reasonable security safeguards appropriate to the nature of the data.
10. Warranties and Disclaimer
VantageX warrants that professional services will be performed in a workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND VANTAGEX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. EACH PARTY'S AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT FOR BREACHES OF CONFIDENTIALITY, INDEMNIFICATION OBLIGATIONS OR PAYMENT OBLIGATIONS.
12. Indemnification
Each party shall defend and indemnify the other against third-party claims arising from its breach of these Terms or, in VantageX's case, claims that its deliverables infringe a third party's U.S. intellectual property rights, subject to prompt notice and reasonable cooperation.
13. Term and Termination
These Terms remain in effect while services are provided. Either party may terminate for material breach not cured within thirty (30) days of written notice. Upon termination, Customer shall pay all accrued fees and VantageX shall make Customer Data available for export for thirty (30) days before deletion.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The state and federal courts located in Delaware shall have exclusive jurisdiction, and the parties consent to personal jurisdiction there.
15. General
These Terms constitute the entire agreement regarding their subject matter. Neither party may assign without consent except in connection with a merger or sale of substantially all assets. If any provision is unenforceable, the remainder stays in effect. Notices shall be in writing to legal@vantagexglobal.com.
